SUBCONTRACTOR BREACHED WARRANTY, PRINCIPAL HELD PERSONALLY LIABLE

A subcontractors principal is personally liable for a breached warranty when he signs the subcontract without the benefit or protection of articles of corporation, which were cancelled prior to entering into the contract.
